- Drafting,reviewing,negotiatingandadvisingonavarietyoflegalcontracts,including:
- Supporting central function (e.g., Procurement, HR, Quality) and local market teams on a variety of commercial contracts, instructing external counsel as required and managing the internal approval process under the Delegation of Authority (DOA) Policy and Contract Management Policy
- Providelegalsupportonallcompany secretarial/Boardmatters,including:
- owning, managing and updating the corporate minute books for the company and its subsidiaries
- supporting local teams on statutory reporting
- managing / updating POAs
- supporting the Group Legal Manager on all treasury matters (e.g. capital increases), intra-group matters (e.g. intercompany loans or other intra-group agreements) and Group tax matters, including instructing external counsel as needed.
- Support General Counsel, International or the Group Legal Manager on specific litigation matters, claims or disputes, as required
- Act aslegalpointpersonforallIPqueriesfromacrosstheGroup,including:
- supporting local teams with requests for trademark protection
- liaising with external legal counsel on renewals / objections
- coordinating with external counsel to manage the Group-wide IP portfolio
- SupportGeneralCounsel,Internationalon M&Adeals,including:
- supporting deal teams on non-disclosure agreements, letters of intent, due diligence etc
- supporting with the review of transaction documents
- coordinating signatories/corporate approvals
- coordinating legal aspects of closing as required
