Our team is looking for a lawyer with experience in a top law firm to join its legal team, in particular, the Corporate Affairs & Transactional team to support and assist its different national and international entities in all related corporate governance, M&A and capital markets matters. 

Responsibilities

  • Collaboration on the review and preparation of all types of legal finance, M&A and capital markets documentation related to organic or inorganic growth: coordinating internal and external resources to properly accomplish such projects, from their inception, going through due diligence, negotiation, and closing phases, until completion of the integration process.  
  • Collaboration on the review and preparation of all types of agreements such as: non-disclosure agreements, services agreements, corporate partnerships, finance agreements, joint ventures and share purchase agreements.
  • Provide corporate governance and ESG advice.
  • Preparation of regulatory filings regarding the securities market with national and international supervisory authorities (i.e. CNMV) applicable to listed companies.
  • Preparation of General Shareholders and Board of Directors Meetings.

Requirements

  • 2-3 years of experience in corporate and capital markets laws.
  • Spanish Degree in Law or Law and Business Administration.
  • Proven experience in a top law firm.
  • Experience in corporate M&A, capital markets and finance transactions and corporate governance is a must.
  • Ability and skills to negotiate with large corporations, regulators and interact with legal, financial and tax advisors and with other stakeholders. 
  • Maintain an update awareness of regulatory and legal topics.
  • High level of English.
  • Excellent interpersonal communication skills.
  • Commitment, rigorous detail-oriented, attitude and ability to show initiative at work, with the ability to contribute with your own ideas. Ability to adapt to any environment and work under pressure with deadlines. 
  • High degree of professional ethics and integrity.
